Business context: The buyer operates in Legal, procurement, and compliance and expects roughly 1,200 workflow items per month.

Required capability: Vendors must support AI recommendations that require human review and approval before external or high-impact action.

Data and risk: The solution will process sensitive internal business data. Vendors must explain data retention, deletion, training-data use, subprocessors, region controls, encryption, and incident response.

Integrations: The product should integrate with Google Drive, Microsoft 365, Slack, Jira, CRM, and contract repository. Vendors must describe API maturity, admin setup, permissions, export formats, and implementation effort.

Governance and compliance: Required controls include SOC 2, SSO, role-based permissions, audit logs, data retention controls, and exportable evidence. AI outputs must be inspectable, traceable, overridable, and exportable for review.

Pilot plan: Propose a 45-day proof of concept using historical examples, edge cases, and reviewer feedback. The pilot must report accuracy, time saved, exception rate, user adoption, security issues, and total cost assumptions.

Commercial response: Provide pricing by seat, usage, premium model, integration, support tier, implementation service, overage, renewal, and cancellation terms.
